By accessing or using Ned you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

By accepting these Terms, you confirm that you are purchasing and using the Service predominantly for purposes related to your trade, business, craft, or profession, and not for personal, family, or household use. You do not need to be incorporated or VAT-registered to qualify as a business user.

• You must be at least 16 years old to use the Service.
• You are responsible for keeping your credentials secure and for all activity under your account.
• You agree to provide accurate information and to keep it up to date.
• Notify us promptly at hello@ned.social if you suspect unauthorized access.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or professional purposes.

You retain ownership of the content you create, upload, or publish through Ned ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as resizing), transmit, and display Your Content solely to provide and operate the features you have requested — including transmitting it to the third-party platforms you connect.

We do not use Your Content, or data we obtain on your behalf from connected platforms, to train generalized AI models or for advertising.

You represent that you have all rights necessary to grant this license and that Your Content does not infringe third-party rights or violate applicable law.

Ned connects to third-party platforms (such as Meta, Facebook, Instagram, Google, LinkedIn, X, and TikTok) at your direction. Your use of those platforms is governed by their own terms and policies. We are not responsible for outages, policy changes, or actions taken by those platforms, but we will do our best to keep our integrations working as expected.

You authorize Ned to use the permissions, access tokens, account identifiers, page identifiers, profile data, content, and metrics made available by connected platforms only to provide the features you request, such as authentication, account connection, publishing, scheduling, and insights. You may revoke a platform connection at any time from Ned or from the platform's own settings. Revocation may limit or disable related features.

You agree not to use the Service to:

• Violate any law or the rights of others.
• Distribute spam, malware, phishing material, or deceptive content.
• Harass, defame, or harm individuals or groups.
• Scrape, reverse-engineer, decompile, or attempt to extract source code.
• Interfere with the security or integrity of the Service.
• Resell, sublicense, or commercially exploit the Service without our written permission.

Ned is a paid subscription service for business and professional use. There is no free plan and no free trial; access to the Service begins after payment. Current plans and prices are shown on the pricing page and at checkout.

Subscriptions are billed monthly or annually. Fees renew automatically at the end of each billing period unless cancelled before the renewal date. Cancelling stops the next renewal; access continues until the end of the paid period.

Prices are stated exclusive of VAT. Applicable VAT is calculated and collected at checkout, and invoices are issued electronically on our behalf.

Except where required by applicable law or agreed in writing, fees are non-refundable: unused time in a billing period is not refunded or credited, and proration credits from plan changes are applied to invoices and are never paid out in cash. We correct duplicate or erroneous charges and provide any refund required by applicable law or a written agreement. Discretionary remedies for a material service failure may be offered but are not an entitlement.

The Service, including its software, design, text, and branding, is owned by Rezio, MB and protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued service poses a risk to Ned or other users. On termination, your right to use the Service ends; the provisions that by their nature should survive (such as content ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

If a subscription payment fails or a subscription ends, the following applies:

• A failed renewal payment starts a 7-day grace period during which the Service continues while payment is retried.
• If payment does not succeed, the account is suspended: your content, exports, and billing management remain accessible, but changes are blocked and your public short links and bio pages stop being served.
• A suspended account has a 30-day recovery window; completing payment restores the Service and your stored data.
• When a voluntarily cancelled subscription reaches the end of its paid period, the account enters the same suspended state immediately, without the 7-day grace period, and the 30-day recovery window starts.
• After 30 consecutive days of suspension the account is terminated. Primary data is deleted within 30 days of termination, and residual backup copies are purged within 35 days of deletion.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any content published through the Service will achieve any specific result.

To the maximum extent permitted by law, neither Rezio, MB nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us in the twelve months preceding the claim, or (b) EUR 100.

You agree to indemnify and hold harmless Rezio, MB from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your connected platform accounts, content you publish through third-party platforms, or your violation of these Terms.

We may modify the Service from time to time. We may also update these Terms; for material changes we will give reasonable notice before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance.

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law rules. The parties agree to attempt to resolve disputes informally before pursuing formal remedies; if that fails, disputes will be resolved in the courts of competent jurisdiction in Vilnius, Lithuania, unless mandatory law provides otherwise.

Nothing in these Terms excludes or limits any statutory rights that cannot lawfully be excluded or limited. If, notwithstanding the business-use requirement, a person is deemed a consumer under mandatory law, those mandatory rights remain unaffected.

If you believe content accessible through the Service infringes your copyright, please send a written notice to hello@ned.social including:

1. Your contact information.
2. A description of the copyrighted work and where the allegedly infringing material is located on the Service.
3. A statement that you have a good-faith belief that the use is not authorized.
4. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
5. Your physical or electronic signature.

We will review and respond within a reasonable time and may remove or disable access to material we believe is infringing.
